ASSETIFYR TERMS OF SERVICE

These Terms of Service (“Terms”) govern the use of the Assetifyr platform operated by:

(EU-based company; European HQ in formation)
(“Company”, “Assetifyr”, “we”, “us”)

1. Scope

These Terms apply to:

• Assetifyr website
• web and mobile applications
• blockchain-based asset registry layer
• future marketplace functionalities
• subscription services
• enterprise tools
• marketing packages.

Platform is offered globally.

2. Nature of the Platform

Assetifyr is a digital asset record management system enabling users to:

• create digital records of physical assets
• upload documents and metadata
• store service history
• record blockchain entries
• facilitate digital transfer logs
• connect with service providers (future marketplace).

Assetifyr is not:

• a legal registry
• a government authority
• a title registry
• a notary
• an escrow agent
• a financial institution
• an insurer
• a marketplace operator guaranteeing performance.

3. Blockchain Record Disclaimer (Critical Protection Clause)

3.1 Blockchain entries represent timestamped digital records only.

3.2 A blockchain record:

• does NOT automatically constitute legal ownership
• does NOT replace statutory registration where required by law
• does NOT create enforceable property rights by itself.

3.3 Legal ownership transfers require:

• valid underlying legal agreement between parties
• compliance with applicable law
• mandatory registrations where required.

3.4 Assetifyr does not verify:

• identity of transfer parties
• authenticity of documents
• physical condition of assets
• existence of the asset
• lien status
• tax compliance.

Users bear full responsibility.

4. Account Responsibility

Users must:

• provide accurate information
• safeguard credentials
• comply with all applicable laws
• maintain backup copies of critical documents.

The company may suspend or terminate accounts at its sole discretion for security, compliance, or misuse.

5. Subscription & Payment Terms

The platform may offer:

• Home user subscription plans
• Enterprise subscriptions (service companies, producers)
• Marketing packages
• Future marketplace fees.

5.1 Billing

Subscriptions auto-renew unless cancelled.

• Fees are non-refundable unless required by mandatory law.
• Prices may change with prior notice.
• The user bears all taxes.

5.2 Enterprise Contracts

Enterprise clients may sign separate agreements which override these Terms where explicitly stated.

6. Marketplace (Future Feature)

When activated:

6.1 Service providers act as independent contractors.

6.2 Assetifyr:

• does not guarantee service quality
• is not party to service contracts
• is not liable for disputes between users and providers.

6.3 Payments processed via third-party providers are subject to their terms.

7. User Content & Data

Users retain ownership of uploaded content.

Users grant Assetifyr a worldwide, royalty-free license to:

• host
• store
• process
• display
• index
• secure
• improve platform functionality.

The company may anonymise and aggregate data for analytics and product improvement.

8. Prohibited Conduct

Users may not:

• upload fraudulent data
• impersonate others
• infringe IP rights
• manipulate blockchain records unlawfully
• reverse engineer platform
• attempt unauthorised access
• use the platform for illegal transactions.

9. Intellectual Property

All software, UI, branding, and technology remain the exclusive property of Lokacom d.o.o.

No rights are granted except a limited usage license.

10. Disclaimers (Strong Limitation Language)

The platform is provided:

“AS IS” and “AS AVAILABLE.”

To the maximum extent permitted by law:

The company disclaims all warranties, including:

• merchantability
• fitness for a particular purpose
• non-infringement
• accuracy
• uninterrupted service
• error-free operation.

We do not guarantee:

• blockchain permanence
• immunity from cyberattacks
• compatibility with all devices
• uninterrupted uptime.

11. Limitation of Liability (Maximum Protection)

To the maximum extent permitted by law:

11.1 Company shall not be liable for:

• indirect damages
• lost profits
• lost data
• loss of business
• reputational damage
• speculative losses
• loss due to incorrect asset records
• disputes between users.

11.2 Aggregate liability cap:

Greater of:

• total fees paid in the last 12 months

OR

• EUR 10 (for free users).

11.3 No liability for:

• blockchain network failures
• third-party service providers
• force majeure
• regulatory changes.

12. Indemnification

User agrees to indemnify and hold harmless Lokacom d.o.o. from any claims arising out of:

• user-uploaded content
• false ownership claims
• regulatory violations
• marketplace disputes
• tax liabilities
• IP infringement.

13. Token / Digital Asset Disclaimer

Any token-related project:

• is operated by a separate legal entity
• is not issued by Lokacom d.o.o.
• does not represent equity, debt, or ownership
• does not guarantee profit or returns.

Separate Token Terms will apply.

14. Data Protection

Personal data processed under Privacy Policy.

Users uploading third-party data must ensure a lawful basis.

15. Suspension & Termination

The company may suspend access:

• for breach
• for legal compliance
• for AML/sanctions concerns
• for security risks.

Upon termination, the license ends immediately.

16. Governing Law & Jurisdiction

The laws of the Republic of Slovenia govern these Terms.

Disputes shall be subject to the jurisdiction of courts in Slovenia, unless mandatory consumer law provides otherwise.

17. Severability

If any provision is invalid, the remaining provisions remain in force.

18. Force Majeure

The company is not liable for events beyond reasonable control, including:

• cyber incidents
• network failures
• war
• natural disasters
• regulatory bans.

19. Amendments

The company may update the Terms at any time. Continued use constitutes acceptance.
